This position is for a full-time attorney to provide legal services to MB’s leasing lines of business, Celtic Commercial Finance, LaSalle Solutions, MB Equipment Finance and MB Lease Banking (collectively, the “Business”). In providing these services, the attorney will work closely with Business’ credit, operations and commercial teams in the structuring, documenting, negotiating and closing of equipment financing transactions. These transactions generally involve equipment lease and loan transactions originated, sold and purchased by the businesses, including transportation, aircraft, marine, construction, manufacturing, rail, healthcare, material handling, IT, software and other types of equipment. In addition, he or she will be responsible for advising on regulatory and legal risks, and ensuring compliance with MB’s policies, objectives and practices. The Businesses are national in scope, with headquarters office locations in California, Maryland and Illinois. Sales offices, clients and business partners are located throughout the country.
ESSENTIAL DUTIES AND RESPONSIBILITIES

Provide legal advice on a wide range of matters supporting the Business’ equipment finance and leasing transactions throughout the United States.
Coordinate with the credit, operations and commercial teams to structure, negotiate, and draft a broad range of lease, loan and other agreements for a variety of asset types
Review and advise the Business’ deal teams on all documentation needs.
Advising the Business of industry and “Market” legal, documentation and operational standards, expectations and issues.
Providing legal advice and support of new products created by the Business.
Preparing and updating standard form templates for all types of equipment financing and leasing transactions, syndication (buy and sell) structures and related agreements such as remarketing, residual support, fiscal agency and servicing.
Advise on rights and remedies under the relevant transaction documents and applicable law
Assist and advise management and staff on originations, credit, asset management, and operations for the leasing lines of business
Perform detailed legal due diligence at all stages of the origination, documentation and closing process
Assisting the Business’ Operations teams with servicing, documentation and portfolio issues and any disputes with counterparties, and providing legal advice specific to the underlying equipment transactions.
Advising the business’ leadership team, compliance and reps regarding any legal, compliance and regulatory issues relating to the activities of the business.
Work with and coordinate end of lease equipment disposition with Sales Management.
Understands and complies with all Bank policies and procedures, and federal and state laws and regulations pertinent to this position; stays informed and shares updates on changes with management. Required to successfully complete all required Compliance training.

Education and Work ExperienceJuris Doctorate and 7-10 years of related experience as a practicing attorney handling substantive leasing and loan transactions. Must have strong knowledge of California Law.
Strong experience representing lessors and lenders in all forms of equipment financings (including true leases, quasi-leases and loans) and representing sellers (and/or buyers) of equipment financing transactions and the structures used to syndicate equipment financing transactions (including assignments, participations, sales of beneficial interests, portfolio sales and referrals).
Leasing, equipment finance, litigation, bankruptcy and capital markets experience strongly preferred. Participation and leadership roles in trade associations and legal support groups involving and supporting the equipment financing industry such as the Equipment Leasing & Finance Association desired.

Strong knowledge of all equipment collateral types (including transportation, aircraft, marine, construction, manufacturing, rail, healthcare, material handling, IT, software and other types of equipment).
Excellent knowledge of the documentation, perfection, operational and risk requirements of all types of equipment financing transactions.
Ability to handle and prioritize numerous transactions at one time and to prioritize conflicting demands from multiple business clients in an extremely fast paced environment.
Ability to act as a deal facilitator and solutions-oriented attorney in a growing group of companies.
Must possess superior analytical and drafting skills and knowledge of the UCC.
Active State Bar Membership
